Twine Tax Widget Terms of Use (End User Licence Agreement)

Twine Apps Pty Ltd · ABN 99 690 317 483 · Townsville, Queensland, Australia

Effective date: 16 October 2026 · Last updated: 16 October 2026

The short version

The full terms follow. They're written to be read, so please do read them.

1. About these terms

1.1 These terms of use (the Terms) are an agreement between Twine Apps Pty Ltd ABN 99 690 317 483 (ACN 690 317 483) of Townsville, Queensland (Twine, we, us, our) and the accounting, bookkeeping or other firm that signs up for Twine Tax Widget (the Firm, you, your).

1.2 By creating an account, ticking "I agree", connecting a file or using the Service, you accept these Terms on behalf of your Firm. You confirm that you have authority to bind the Firm. If you don't agree, please don't use the Service.

1.3 Our Privacy Policy explains how we handle personal information and forms part of these Terms. If your Firm needs a data processing agreement (for example, under the GDPR), it forms part of these Terms once signed.

1.4 These Terms apply to Twine Tax Widget only. Other Twine products, such as Twine Biller, have their own terms. If you use a single Twine account across products, each product's terms apply to that product.

2. Words we use

3. The Service and your licence

3.1 What it does. The Service connects to Client Files with read-only access. It calculates the tax paid to the Australian Taxation Office (ATO) for the current financial year to date and for the same period last year. That covers GST (net of refunds), PAYG withholding, PAYG instalments and payments through an ATO clearing account. It shows the results on a firm dashboard and on a client card that you can brand.

3.2 Your licence. While you have an account and keep to these Terms, we grant your Firm a non-exclusive, non-transferable, revocable licence for your Users to access and use the Service for your Firm's business: providing services to your own Clients. You can't sublicense it, except that you can give Client Users access to their own cards.

3.3 Read-only. The Service never creates, changes or deletes anything in a Client File.

3.4 Changes. We're always improving the Service, so features may change. If we remove a feature that is central to a paid plan, we'll give you at least 30 days' notice. If the change materially disadvantages you, you can cancel and get a pro-rata refund of prepaid Fees for the unused period.

3.5 Availability. We aim to keep the Service available and refreshed, but we don't promise it will be uninterrupted or error-free. Maintenance, outages at Intuit, Xero or our hosting provider, and Platform rate limits can delay refreshes.

4. Accounts and security

4.1 You must give us accurate account details and keep them up to date.

4.2 You're responsible for your Users and everything done under your account. That includes deciding who has access, removing access when someone leaves, and making sure Users follow these Terms.

4.3 Each User needs their own login. Keep passwords confidential. Multi-factor authentication (MFA) is optional, but we strongly recommend that every Firm User turns it on, and especially owners and admins. If you choose not to use MFA, you accept the extra risk that comes with that.

4.4 Tell us straight away at support@twineapps.co if you think someone has accessed your account without permission.

4.5 Users must be at least 18.

5. Connecting client files: your responsibilities

5.1 Authority and consent. Before you connect a Client File, you must:

5.2 Stopping when permission ends. If a Client withdraws its permission, or you stop acting for a Client, you must disconnect its Client File promptly.

5.3 Your choices. You decide which accounts count as GST, PAYGW, PAYGI and ATO clearing for each Client File, and who can see each card. Check those choices when you connect a file and whenever the Client's chart of accounts changes.

5.4 Platform terms. Your Clients' and your use of QuickBooks Online and Xero is governed by Intuit's and Xero's own terms. You must not use the Service in a way that breaches those terms.

6. Data

6.1 You own your data. As between you and us, your Firm (and your Clients) own the Client Data and the information you put into the Service. We don't claim ownership of it.

6.2 Our permission to use it. You give us permission to access, store and process Client Data and your account information only as needed to provide, secure and support the Service, to meet legal obligations, and as set out in our Privacy Policy. We act on your instructions in handling Client Data.

6.3 What we won't do. We won't sell Client Data, use it for advertising, use it to train AI or machine-learning models, write to Client Files, or share it with anyone except as our Privacy Policy describes.

6.4 Security. We'll take reasonable steps to protect Client Data. We encrypt OAuth tokens with AES-256-GCM, host everything in AWS Sydney with an encrypted database, keep encryption keys and secrets in AWS Secrets Manager, and use a CAPTCHA on sign-in. Our Privacy Policy has more detail.

6.5 Data breaches. If we become aware of a data breach affecting your Client Data, we'll tell you without undue delay, aiming for within 72 hours. We'll give you the information you reasonably need, and we'll meet our own obligations under the Notifiable Data Breaches scheme in Part IIIC of the Privacy Act 1988 (Cth).

6.6 Disconnecting and deletion. You can disconnect any Client File at any time. When you do, we revoke our access with Intuit or Xero and delete the stored tokens immediately. We delete the related totals and mappings within the period set out in our Privacy Policy, or sooner if you ask. When your account closes, we delete your data as the Privacy Policy describes, except records the law requires us to keep.

6.7 Usage information. We may use information about how the Service is used (not Client Data) to run, secure and improve it.

7. Acceptable use

You and your Users must not:

8. Branding and white-label

8.1 You can add your Firm's logo and colours to client cards. You confirm you have the right to use any logo or branding you upload, and you give us permission to display it in the Service for you.

8.2 If you use the white-label option, "Powered by Twine Tax Widget" is hidden, so your Clients may not see our name. You remain responsible for telling your Clients about the Service and how their data is handled (see clause 5.1(c)), and for any statements you make to them about the figures.

9. Not tax advice: please read

9.1 The figures come from accounting data. Every figure in the Service is calculated from the data in the Client File and the account choices your Firm makes. The figures may be wrong or incomplete if transactions are missing, miscoded, unreconciled or recorded late, if the wrong accounts are mapped, if the Platform's data is unavailable, or if a refresh hasn't run recently. Each card shows when it was last refreshed.

9.2 Indicative only. The Service shows indicative totals. It doesn't show tax owed, it doesn't reconcile to the ATO's records (such as the ATO integrated client account), and it doesn't lodge anything. Check figures against the ATO and the source records before relying on them.

9.3 Not advice. The Service, and anything we say about it, is general information only. It isn't tax, accounting, financial or legal advice, and it isn't a tax agent service or BAS service. Twine is not a registered tax agent or BAS agent. Your Firm is responsible for any advice you give your Clients and for checking figures before you share or rely on them.

9.4 Your Clients. You're responsible for how you present the figures to your Clients. We recommend keeping the "not tax advice" note visible on client cards.

10. Intuit, Xero and other third parties

10.1 The Service depends on the Platforms and on other providers (such as AWS, Cloudflare and Stripe). We don't control them. Their outages, API or pricing changes, scope changes, rate limits or decisions to restrict our access may affect the Service. If a Platform changes in a way that stops us providing a core part of the Service, we may change or stop that part, and clause 3.4 applies.

10.2 Intuit and Xero are not parties to these Terms. They aren't responsible for the Service, and they don't give any warranty about it. QuickBooks and Intuit are trademarks of Intuit Inc. Xero is a trademark of Xero Limited. We use these names only to describe the integrations.

11. Plans, fees and payment

11.1 Plans. The Service is offered on a subscription basis. Plans, prices, included connections and any free plan are as shown in the app or on our pricing page when you subscribe.

11.2 Twine Biller discount. Firms that are Twine Biller customers get 50% off the Service's paid Fees while they remain Twine Biller customers. If your Twine Biller subscription ends, the standard price applies from your next billing period after we give you at least 30 days' notice. The discount can't be combined with other offers unless we say so.

11.3 Billing. Fees are charged in advance for each billing period (monthly unless we agree otherwise). They're charged automatically to your payment method through our payment provider (Stripe) and renew automatically until you cancel. Charges for extra connections or add-ons (such as white-label) are applied as shown in the app.

11.4 GST and currency. Fees are in Australian dollars and include GST. Twine is registered for GST, and we'll issue a tax invoice for each payment.

11.5 Price changes. We may change prices by giving you at least 30 days' notice by email or in the app. The new price applies from your next billing period after the notice ends. If you don't agree, you can cancel before it takes effect.

11.6 Late payment. If a payment fails, we'll let you know and try again. If it's still unpaid 14 days after we notify you, we may suspend paid features or the account until it's paid. We won't delete your data because of a suspension without further notice.

12. Cancelling and refunds

12.1 Cancel any time. You can cancel your subscription at any time in the app or by emailing us. Cancellation takes effect at the end of the current billing period, and you keep access until then.

12.2 Refunds. Fees already paid aren't refundable for partly used billing periods, except:

13. Suspension and ending the agreement

13.1 You can end these Terms at any time by cancelling and closing your account.

13.2 We may suspend or end your access, with notice where reasonable, if you seriously or repeatedly breach these Terms and (if the breach can be fixed) don't fix it within 14 days of our notice, if you don't pay Fees, if you become insolvent, or if we reasonably need to act to protect the Service, other users, Clients or the Platforms, or to comply with the law or a Platform's requirements. Where we can, we'll tell you first and give you a chance to fix the problem.

13.3 We may stop offering the Service, or end your account for convenience, by giving at least 30 days' notice. In that case clause 12.2(b) applies.

13.4 When the agreement ends: your licence ends, we disconnect all Client Files, revoke and delete all tokens, and delete your data as set out in our Privacy Policy. Clauses that by their nature should continue (including clauses 6, 9, 14, 15, 17, 18 and 20) survive.

14. Intellectual property and feedback

14.1 We (and our licensors) own the Service, including the software, design, calculations, documentation and the Twine name and logos. Apart from the licence in clause 3.2, these Terms don't transfer any of those rights to you.

14.2 If you give us ideas or feedback, we can use them to improve our products without owing you anything. We won't identify you publicly without your permission.

15. Confidentiality

Each of us will keep the other's confidential information confidential, and will use it only for the purposes of these Terms. That doesn't apply to information that is public through no fault of the receiver, or that has to be disclosed by law (with notice to the other party where allowed). Client Data is your confidential information.

16. Warranties and the Australian Consumer Law

16.1 We'll provide the Service with due care and skill.

16.2 You warrant that you have the authority and the permissions described in clause 5, and that your use of the Service complies with the law.

16.3 Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, that the law (including the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law) says can't be excluded. Where we're allowed to limit our liability for breaching a consumer guarantee, our liability is limited, at our choice, to supplying the services again or paying the cost of having them supplied again.

16.4 Apart from that, and to the extent the law allows, the Service is provided "as is" and "as available", and we exclude all other warranties, including about the accuracy or completeness of any figure.

17. Limitation of liability

17.1 To the extent the law allows, neither party is liable to the other for indirect or consequential loss, or for lost profits, revenue, goodwill or savings, however it arises.

17.2 To the extent the law allows, we're not liable for any loss arising from:

17.3 To the extent the law allows, our total liability to you for all claims connected with these Terms or the Service is limited to the greater of the Fees you paid us in the 12 months before the event giving rise to the claim, and A$100.

17.4 Each party's liability is reduced to the extent the other party (or its users) caused or contributed to the loss.

17.5 The limits in this clause don't apply to your obligation to pay Fees, to your indemnity in clause 18, or to liability that can't legally be limited.

18. Indemnity

You indemnify Twine against any loss, cost (including reasonable legal costs) or liability arising from a claim by a third party (including one of your Clients or a regulator) to the extent it is caused by: (a) your connecting a Client File, or showing Client Data to anyone, without the necessary authority or consent; (b) your breach of privacy law or of these Terms; or (c) advice or information you give your Clients based on the Service. This indemnity is reduced to the extent Twine caused or contributed to the loss. We'll tell you promptly about any claim, and give you reasonable help (at your cost) to deal with it.

19. Changes to these Terms

We may update these Terms from time to time. We'll post the updated Terms here with a new "Last updated" date. If a change materially affects you, we'll email the account owner at least 30 days before it takes effect. If you don't agree with the change, you can cancel before it takes effect, and we'll refund any prepaid Fees for the period after that date. Continuing to use the Service after the change takes effect means you accept it.

20. Disputes and governing law

20.1 Let's talk first. If there's a dispute, please email us first. We'll both try in good faith to resolve it within 20 business days before starting court proceedings, except where urgent relief is needed.

20.2 Governing law. These Terms are governed by the laws of Queensland, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Queensland and the courts that can hear appeals from them, and the Federal Court of Australia.

20.3 Overseas firms. If you're outside Australia, this choice of law doesn't take away any mandatory protection that the law of your country gives you and that can't be excluded by agreement.

21. General

21.1 Notices. We'll send notices to your account owner's email address or show them in the app. Send notices to us at support@twineapps.co.

21.2 Assignment. You can't transfer these Terms without our consent, which we won't unreasonably withhold. We may transfer them to a buyer or successor of our business, if we give you notice and the Service continues on terms no less protective of your data.

21.3 Events outside our control. Neither party is liable for a delay or failure caused by events beyond its reasonable control (such as Platform or internet outages, natural disasters, or cyclones in North Queensland), except for payment obligations.

21.4 Whole agreement. These Terms, the Privacy Policy, and any order form or data processing agreement we sign with you are the whole agreement about the Service. If these Terms conflict with a signed order form or data processing agreement, that signed document wins.

21.5 Severability and waiver. If part of these Terms is unenforceable, the rest still applies. Not enforcing a right straight away doesn't waive it.

21.6 Relationship. Nothing in these Terms creates a partnership, employment or agency relationship.
